1. Acceptance of Terms

These Terms constitute a legally binding agreement between you ("User", "You", or "Your") and TIMSIT Solutions Pvt. Ltd. By accessing, registering, or using TiBook in any manner, you represent that you have read, understood, and agreed to be bound by these Terms and that you have the legal capacity and authority to enter into this agreement.

2. Amendments to Terms

TIMSIT Solutions Pvt. Ltd. reserves the exclusive right to modify, amend, or update these Terms at any time at its sole discretion. Any modifications shall become effective immediately upon publication on the Platform. Continued use of TiBook after such changes constitutes your express acceptance of the revised Terms.

3. Ownership and Intellectual Property Rights

TiBook, including but not limited to its software, source code, object code, databases, user interface, workflows, designs, trademarks, logos, documentation, and underlying technology (collectively, "Intellectual Property"), is the sole and exclusive property of TIMSIT Solutions Pvt. Ltd. or its licensors.

Unauthorized copying, reproduction, distribution, modification, reverse engineering, decompilation, or exploitation of any Intellectual Property is strictly prohibited and may result in civil and criminal liability.

4. Authorized Use and Prohibited Activities

TiBook may be used solely for lawful business and professional purposes. You agree not to:

• Violate any applicable local, national, or international laws or regulations
• Engage in fraudulent, deceptive, misleading, or abusive activities
• Attempt to reverse-engineer, decompile, disassemble, or otherwise tamper with the Platform
• Interfere with or disrupt the security, integrity, or performance of TiBook
• Access or attempt to access data, accounts, or systems without authorization
• Infringe upon intellectual property, confidentiality, or privacy rights of the Company or third parties

5. User Content and Data

Any data, information, documents, feedback, or content submitted or uploaded by the User while using TiBook ("User Content") shall remain the property of the User.

However, the User grants TIMSIT Solutions Pvt. Ltd. a non-exclusive, worldwide, royalty-free, irrevocable, and sublicensable license to host, process, store, reproduce, modify, and use such User Content solely for the purpose of operating, maintaining, improving, and supporting TiBook and its Services.

The User warrants that all User Content is lawful and does not violate any third-party rights or applicable laws.

6. Privacy and Data Protection

By using TiBook, you expressly consent to the collection, processing, and storage of personal and business data in accordance with the Company's Privacy Policy. TIMSIT Solutions Pvt. Ltd. shall implement commercially reasonable administrative, technical, and organizational safeguards to protect User data.

7. Service-Specific Terms

TiBook is a Software-as-a-Service (SaaS) platform that may be subject to additional terms such as Subscription Agreements, Service Level Agreements (SLAs), or feature-specific conditions. In the event of any conflict, the service-specific agreement shall prevail over these Terms.

8. Fees, Payments, and Subscription Terms

• TiBook may offer free and paid subscription plans as described on the Platform.
• Certain features may require payment of subscription or usage-based fees.
• Failure to complete payment may result in suspension or termination of access.
• Subscription plans may auto-renew unless cancelled prior to the renewal date.
• All fees are non-refundable unless explicitly stated otherwise in writing.

9. Disclaimers and Limitation of Liability

• TiBook is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
• TIMSIT Solutions Pvt. Ltd. expressly disclaims all warranties including, but not limited to, merchantability, fitness for a particular purpose, accuracy, availability, or uninterrupted operation.
• Under no circumstances shall TIMSIT Solutions Pvt. Ltd. be liable for any direct, indirect, incidental, consequential, special, or punitive damages, including loss of profits, business interruption, or data loss, arising from the use or inability to use TiBook.

10. Third-Party Integrations

TiBook may integrate with or link to third-party services or software. TIMSIT Solutions Pvt. Ltd. does not control and is not responsible for the content, security, or practices of any third-party platforms. Use of third-party services is at the User's own risk.

11. Suspension and Termination

TIMSIT Solutions Pvt. Ltd. reserves the right to suspend or terminate access to TiBook, without prior notice, if the User:

• Violates these Terms
• Engages in unlawful or abusive activities
• Poses a security or operational risk to the Platform

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Gujarat, India.

Any disputes shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat and venue of arbitration being Ahmedabad, Gujarat. The arbitral decision shall be final and binding.

13. Indemnification

The User agrees to indemnify, defend, and hold harmless TIMSIT Solutions Pvt. Ltd., its directors, officers, employees, and affiliates from any claims, damages, liabilities, or expenses arising from:

• Breach of these Terms
• Violation of applicable laws
• Infringement of intellectual property or third-party rights
• Unauthorized use of TiBook
